1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and [Praetorian X Pty. Ltd.] (ACN/ABN [Your ACN/ABN]), located in Western Australia, Australia ("we," "us," or "our"), concerning your access to and use of the PraetorianX.au website, the PraetorianOS.au website (collectively, the "Sites"), and the products and services we offer (collectively, the "Services").
Our Services include, but are not limited to, the sale of hardened, de-Googled smartphones ("Products"), and the provision of related subscription services such as secure VPN and anonymous SIM card services.
You agree that by accessing the Sites and/or using the Services, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Sites and Services and you must discontinue use immediately.
2. Intellectual Property Rights
Unless otherwise indicated, the Sites and Services are our proprietary property. All source code, databases, functionality, software (including but not limited to PraetorianOS), website designs, text, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.
The Content and Marks are provided on the Sites "AS IS" for your information and personal use only. No part of the Sites, Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Provided that you are eligible to use the Services, you are granted a limited, non-exclusive, non-transferable license to (a) access and use the software installed on your Product (PraetorianOS) for your personal, non-commercial use and (b) download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.
3. User Representations
By using the Services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to comply with these Terms.
- You will not use the Services for any illegal or unauthorized purpose, and your use of the Services will not violate any applicable law or regulation in your jurisdiction or in Australia.
- You will not access the Services through automated or non-human means (e.g., bot, script).
- You will not attempt to reverse engineer, decompile, or otherwise attempt to discover the source code of the PraetorianOS software or any part of the Services.
4. Product Orders, Payment, and Shipping
4.1. Order Acceptance
We reserve the right to refuse or cancel any order at any time for any reason, including but not limited to product availability, errors in product descriptions or pricing, or suspicion of fraudulent activity.
4.2. Payment
We accept payment via direct bank transfer or other methods as specified during the checkout process. By providing payment details, you represent that you are authorized to use the payment method and that you authorize us (or our payment processor) to charge your payment method for the total amount of your order (including any applicable taxes and shipping charges).
As part of our security and privacy protocols, payment information (such as bank account details) provided by us for your payment may be ephemeral and valid only for a limited time (e.g., 72 hours). You are responsible for completing your payment within the specified timeframe.
4.3. All Sales Final & Returns Policy
Due to the custom-built, high-security, and privacy-sensitive nature of our Products, all sales are final. We do not offer refunds, returns, or exchanges for change of mind, incorrect choice, or any other reason except as required by law (see Section 5).
4.4. Shipping and Risk of Loss
We will ship Products to the address you provide. All shipping times are estimates only. Title and risk of loss for all Products pass to you upon our delivery of the Products to the shipping carrier.
5. Australian Consumer Law & Product Warranty
5.1. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.
5.2. Limited Hardware Warranty
We warrant the Product handset against defects in materials and workmanship under normal use for a period of twelve (12) months from the date of original purchase ("Warranty Period").
This warranty does **not** apply to:
- Damage caused by accident, abuse, misuse, or external causes.
- Damage caused by operating the Product outside its intended use.
- Software, including the PraetorianOS operating system, which is provided "AS IS."
- Any Product where the hardware or software has been modified, tampered with, or "rooted" by the user.
Your sole remedy for a breach of this warranty will be, at our option, to repair or replace the Product. To make a warranty claim, you must contact us at [Your Support Email].
6. Subscription Services (VPN & SIM)
Your purchase of a Product may include an introductory subscription period (e.g., 12 months) for associated services, such as a Secure VPN and/or an Anonymous SIM card.
- These services are provided by us or our third-party partners and are subject to their own terms and acceptable use policies.
- Your use of these services must comply with all "Prohibited Activities" in these Terms.
- Upon expiration of the introductory period, your access to these services will cease unless you purchase a renewal subscription at the then-current price.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITES OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE PRODUCT(S)._
You expressly acknowledge and agree that you are solely responsible for your own data security, privacy practices, and any actions you take using the Product. We are not liable for any data loss, security breaches, or damages resulting from your misuse or misunderstanding of the Product's features or limitations.
8. Governing Law & Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of **Western Australia, Australia**, without regard to its conflict of law principles.
You and we agree that any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration administered by a mutually agreed-upon arbitrator in Perth, Western Australia, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
9. Modifications to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
